Terms of Service

1. Acceptance of Terms
By purchasing a Teleportal device, accessing the Faltrix cloud management platform, or using any service provided by Faltrix Inc. ("Faltrix", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our products or services.
2. Products and Services
Faltrix sells hardware networking devices (the "Teleportal") and provides an associated cloud management platform (the "Platform") on a subscription basis. The Platform enables monitoring of device status, delivery of firmware updates, and remote network management.
Hardware is sold outright. The Platform is provided under a separate monthly subscription. Continuation of Platform access requires an active subscription. Cancellation of a subscription does not affect ownership of the hardware, but cloud management features will cease to function until a subscription is reinstated.
3. Subscriptions and Billing
Subscription fees are billed monthly. You authorize Faltrix or its payment processor to charge your payment method at the start of each billing period. Pricing is subject to change with 30 days written notice. Early-mover pricing, where applicable, is locked in for the duration of an active subscription without interruption.
Subscriptions may be cancelled at any time. No refunds are issued for partial billing periods. Upon cancellation, cloud Platform access will remain active until the end of the current billing period.
4. Hardware and Returns
Teleportal devices are warranted against defects in materials and workmanship for a period of one year from the date of delivery. In the event of a defect within this period, Faltrix will, at its option, repair or replace the device.
Returns for reasons other than defect are accepted within 30 days of delivery, provided the device is in its original condition and packaging. Return shipping costs are the responsibility of the customer unless the return is due to a defect or error on our part. Contact sales@faltrix.net to initiate a return.
5. Acceptable Use
You agree not to use Faltrix products or services to:
- Violate any applicable law or regulation
- Infringe the rights of any third party
- Transmit malicious software or conduct unauthorized network attacks
- Circumvent security measures of any network or system
- Resell or sublicense access to the Platform without a written reseller agreement with Faltrix
Faltrix reserves the right to suspend or terminate access for any customer found to be in violation of these terms.
6. MSP and Reseller Partners
Authorized MSP and reseller partners purchase hardware and subscriptions at partner rates under a separate partner agreement. Partner pricing, margin structures, and rebate arrangements are governed by that agreement. In the absence of a signed partner agreement, standard retail pricing applies.
7. Intellectual Property
All software, firmware, documentation, and other materials provided by Faltrix remain the intellectual property of Faltrix Inc. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely in connection with your Teleportal devices. You may not copy, modify, reverse-engineer, or distribute any Faltrix software or firmware.
8. Disclaimer of Warranties
Except as expressly stated in these terms, Faltrix products and services are provided "as is" without warranty of any kind. We do not warrant that the Platform will be uninterrupted or error-free. Hardware warranty is limited to the terms stated in Section 4.
9. Limitation of Liability
To the maximum extent permitted by law, Faltrix's total liability for any claim arising from these terms or your use of our products and services shall not exceed the amount you paid to Faltrix in the 12 months preceding the claim. In no event shall Faltrix be liable for indirect, incidental, special, or consequential damages.
10. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
11. Changes to These Terms
We may update these Terms of Service from time to time. We will notify active customers of material changes with at least 30 days notice via the email address associated with their account. Continued use of our products or services after the effective date of any changes constitutes acceptance of the revised terms.
